Terms of Service

1. Who we are

Menofly is operated by Human First AI Labs LLC ("Menofly", "we", "us", "our"), a limited liability company. When you use Menofly you are entering into a contract with Human First AI Labs LLC. You can reach us at hello@menofly.ai.

2. Acceptance

By creating an account, subscribing, or otherwise using Menofly you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

3. Eligibility

You must be at least 18 years old to use Menofly. If you use Menofly on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. What Menofly is (and isn't)

Menofly is a consumer wellness, journaling and AI companion tool for perimenopause and menopause. Menofly is not a medical device, is not a substitute for professional medical advice, and does not provide diagnosis or treatment. See our Medical Disclaimer. Do not rely on Menofly for emergency care.

5. Your account

  • You are responsible for keeping your login credentials safe.
  • You are responsible for the accuracy of information you enter and for keeping it up to date.
  • You may export or delete your data at any time from account settings. Deletion is permanent.

6. Acceptable use

You will not, and will not permit anyone else to:

  • Use Menofly in violation of any law or regulation.
  • Attempt to access other users' data, probe, scan, or interfere with the security of the service.
  • Introduce malware, spam, or automated systems that scrape or overload Menofly.
  • Reverse engineer, decompile, or attempt to derive the source code or underlying models of the service.
  • Resell, sublicense, or redistribute the service or its outputs commercially without our written permission.
  • Use Menofly to harass, defame, or infringe the rights of any person.

7. Grace and AI-generated content

Menofly includes an AI companion named "Grace". Grace is a generative AI feature powered by large language models. By using Grace you acknowledge and agree that:

  • Outputs may be inaccurate, incomplete, out of date, or reflect biases in the underlying models. Do not treat outputs as professional medical, legal, financial or other regulated advice.
  • You are responsible for your prompts and inputs, for how you use outputs, for independently verifying anything you plan to act on, and for ensuring you have the rights to any content you submit.
  • You will not use Grace to generate illegal content, deepfakes, hate speech, sexual content involving minors, malware, or content that infringes another person's rights, and you will not attempt to jailbreak, exfiltrate the system prompt, or impersonate a healthcare provider.
  • We may filter, moderate, refuse or restrict outputs, remove content, and suspend accounts that repeatedly violate these rules.
  • Rights-holders who believe an output infringes their rights can contact us at hello@menofly.ai for takedown. Repeat infringers will have their accounts terminated.

8. Intellectual property

Menofly, including the software, model prompts, library content, documentation and branding, is owned by Human First AI Labs LLC and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use Menofly for your personal, non-commercial use within the plan you have purchased. You retain ownership of the content you enter (symptom logs, journal entries, chat inputs), and grant us a limited, worldwide license to host, process, display and back up that content solely to provide and improve the service for you.

9. Service level

We work hard to keep Menofly available, but we do not guarantee that the service will be uninterrupted, error-free, or free of harmful components. Scheduled maintenance, third-party outages, and unforeseen events can cause downtime.

10. Subscriptions, billing and payments

Paid plans are sold and processed by our reseller Paddle. Details of the plans, prices, billing cycles, taxes, renewal, cancellation and refunds are governed by Paddle's Buyer Terms and by our Refund Policy. See the "Paddle as reseller" section below.

  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • You can cancel at any time from your account or from the Paddle customer portal linked from your receipts.
  • Prices are shown at checkout and may include applicable taxes collected by Paddle.
  • Refund requests are handled per our Refund Policy.

11. Paddle as reseller (Merchant of Record)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

12. Suspension and termination

We may suspend or terminate your access to Menofly, in whole or in part, if you materially breach these Terms, fail to pay, present a security or fraud risk, or repeatedly or seriously violate the acceptable use rules. You may stop using Menofly at any time by cancelling your subscription and deleting your account. On termination we will retain or delete your data in line with our Privacy Policy; you may export your data before termination.

13. Disclaimers

To the fullest extent permitted by law, Menofly is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing.

14. Limitation of liability

To the fullest extent permitted by law, Human First AI Labs LLC will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunities, arising out of or related to your use of Menofly. Our aggregate liability for all claims arising from or related to the service in any 12-month period will not exceed the fees you paid us during that period. Nothing in these Terms limits liability that cannot be excluded under applicable law, including for fraud, gross negligence, or death or personal injury caused by our negligence.

15. Indemnity

You will defend, indemnify and hold harmless Human First AI Labs LLC and its personnel from any claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising from your content, your use of Menofly, your use of outputs from Grace, or your violation of these Terms or applicable law.

16. Changes

We may update these Terms. Material changes will be communicated in the app or by email at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.

17. Assignment

You may not assign these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, restructuring or sale of all or substantially all of our assets.

18. Force majeure

Neither party will be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, or acts of government.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from or relating to these Terms, and you consent to the personal jurisdiction of those courts.
